Work Orders
Formal work orders are not requested. In the name of expediency, emails to Dave White Multimedia are treated as work orders. Receipt of an email requesting work, or approving work, constitutes an agreement. This allows for faster response time for work completion.

Pricing
Prices reflect typical project costs and do not constitute a contract. Project estimates are based upon an hourly rate of $60. Projects which deviate from the normal described development may be subject to price corrections. For project estimates under $500, a 50% or $150 deposit, which ever is greater, will be requested. For project estimates over $500, and less than $1000, a 35% or $250 deposit, whichever is greater, will be requested. For project estimates greater than $1000, a 25% or $500 deposit, whichever is greater will be requested. No work will be done without a deposit. Rush jobs, i.e., jobs that must be completed after hours, during weekends, or in less than 24 hours may be subject to a 50% rush charge.

Deign Specifications
Designs for web are either template based i.e. WordPress, for which only content changes are included in project estimates, and custom designs which may or may not include pre-existing design elements. The degree to which custom web pages are unique reflects time and budget constraints. Most designs will include some content generated by web or specialty applications which have some limitations. Image compositing is included in all designs. Fonts used in web page designs are limited to those available via Google Fonts. All custom designs are created with the Adobe Creative Suite of applications including Dreamweaver, Fireworks, Illustrator, Photoshop, Premier Pro, and others, and utilize HTML, CSS, JavaScript, and jQuery.

Confidentiality
Offers and proposals made by Dave White Multimedia to potential clients should be treated as trade secrets and remain the property of Dave White Multimedia. Such offers and proposals or the information contained within them must not be passed to third parties or publicly disseminated without prior written authorization from Dave White Multimedia. This includes, but is not limited to, technical features, functionality, aspects of the design and pricing information. Similarly, Dave White Multimedia treats all customer information as private, and does not share such information with any other entity without the express direction of the client. This includes, but is not limited to, email addresses, user names/passwords, banking information, or any personal information. Any information learned or discovered by Dave white Multimedia in the process of interaction with the client which is held as confidential by the client will not be shared with any third parties without express written authorization by the client.

Design Approval
Copywriting, SEO, and other non-design work is not subject to approval, but is delivered as is. All graphic or layout design work is subject to an approval process. Approval will be determined by the client within 7 days. Once approved, full payment is due. Web designs will initially be posted to davewhitemultimedia.com for approval, and when complete, transferred to your domain/hosting, or delivered via alternate methods. Print designs will be delivered electronically as PDF files, by CD-ROM, or by other methods as agreed upon by parties. All other design work will be delivered electronically or by other suitable means.

Materials and Information
The Client is to supply all agreed upon materials and information required for Dave White Multimedia to complete the work in accordance with the agreed specification in a reasonable time frame of not more than 7 days after project initiation. Failure to provide materials within this time frame will change delivery dates, and may add to project cost. Such materials may include, but are not limited to, photographs, copy as text, logos and other electronic media and/or other materials.

Graphic designs are to be provided in source format, i.e. layered Photoshop (.psd) or Fireworks (.png) Illustrator (.ai) rather than flattened file types (.eps, .jpg .gif) whereever possible. All copy is to be provided as text, i.e. in a Microsoft word file (.doc, .docx), or as a simple text (.txt) file. Failure to provide copy as text will void project estimates and add to project costs.

Where the Client's failure to supply such materials leads to a delay in completion of the work, Dave White Multimedia has the right to extend previously agreed deadlines for the completion of the work by a period equal or greater than the time of the delay, depending upon availability of time at the time of materials delivery. When materials are not delivered in usable and organized fashion, and repeated requests for materials are needed to obtain required information and materials, project costs may be adjusted to reflect additional time.

Where the Client's failure to supply materials prevents progress on the Work for more than 3 days, Dave White Multimedia has the right to invoice the Client for any part or parts of the Work already completed. Where the Client's failure to deliver materials prevents progress for more than 14 days, Dave White Multimedia may require a project re-start charge.

Video
Video is based on still photos and/or video supplied by the client. Stock video/photography may be used, but will add to the cost of a project. Video editing is time consuming and changes will incur substantial additional costs. Please ensure that scripts, copy, and other client provided content is approved and finalized before providing to Dave White Multimedia. Failure to do so will substantially add to project costs.

Payment and Credit Terms
No credit terms are offered. Invoices are payable upon receipt. Incremental payments may be requested. Any changes after approval will incur additional charges. Unpaid invoices invalidate special offers or discount pricing, making the client liable for the full project cost. Invoices not paid for 30 days are subject to a 2% per month interest charge. Invoices unpaid for 90 days are subject to a 10% collection fee. Delinquent accounts may be put on a pre-pay basis until such time that a good payment record has been re-established.

Reasonable Expectations
Project estimates do not constitute contracts. If the Client requests multiple redesigns, project cost will be adjusted to reflect additional work. Every effort will be made by Dave White Multimedia to produce work that meets industry standards and is acceptable to the Client. However, if the Client rejects or will not approve subsequent work performed by Dave White Multimedia to remedy any points reported by the Client as unsatisfactory, and Dave White Multimedia considers that the Client is unreasonable in their repeated rejection of the work, the Agreement will be deemed to have expired.

Project estimates are based upon timely completion and delays resulting from Client failure to provide materials or design approval may result in delay penalites. Failure to respond to requests by Dave White Multimedia for materials or incremental approval, i.e. within 3 (three) working days may increase project cost, at the discression of Dave White Multimedia.

When an Agreement is expired, Dave White Multimedia will invoice the Client for the balancing payment, which, in the absence of Agreement to the contrary, is to be paid by the Client upon receipt. Any discounts or promotional pricing may be deemed void if client does not meet expectations including, but not limited to approval in a timely manner, or payment for services upon demand.

If payment is not received for a website, Dave White Multimedia may opt to replace a home page with an under construction page until such time as payment is received.

Dave White Multimedia reserves the right to take any legal measures to recover both payment for the completed Work and reasonable expenses incurred in recovering payment.

Domain Ownership
Any Domain Name obtained will belong to the Client at such time that the contract is fulfilled and all fees paid to Dave White Multimedia. The Client agrees to indemnify Dave White, including any incidental costs, against any claims that a Domain Name applied for, or obtained, violates the intellectual property rights of a third party. The Client warrants that the domain name sought is not a trademark of a third party. Dave White Multimedia assumes all content supplied by the client is free of copyright, and Dave White Multimedia takes no responsibility whatsoever for using copyrighted material on the site that has been supplied by the client.

Liability
Neither party will be liable for any delay, interruption or failure in the performance of its obligations if caused by acts of God, war, declared or undeclared, fire, flood, storm, slide, earthquake, or other similar event beyond the control of the party affected ("Force Majeure"). If any Force Majeure occurs, the party claiming the Force Majeure will promptly notify the other. The party claiming the Force Majeure will use commercially reasonable efforts to eliminate or remedy the Force Majeure. This Section will not apply to excuse a failure to make any payment when due. In addition, the Client agrees to indemnify Dave White against any loss resulting from third party actions which are out of the control of Dave White. This includes, but is not limited to, actions by service providers, web hosting companies, printing companies or any other third party involved in the production of materials.

Policy Changes
These policies and conditions are subject to change without notification, and may be changed at any time.

Definitions
An agreement describing a design project between parties, heretofore to be known as "Dave White Multimedia" and the "Client", shall be referenced as the "Agreement" shall define expectations and responsibilities for all parties as “Agreement”, and “Deliverables” shall indicate the product delivered to the Client, and materials, heretofore to be known as "Materials" shall describe those items of content to be provided by the Client.
